of Directors or certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain

On April 18, 2017, Mr. Martin Scholz was appointed Board
of Directors of ROI Land Investments Ltd. (the “Company”) and nominated to the position of Executive Vice President
of the Company. Mr. Stéphane Boivin has been appointed as COO, and Mr. Antoine Tronquoy will serve as the new CFO of the
Company.
