On December 5, 2018, the company
filed a Current Report on Form 8-K (the “Initial 8-K”) to report all of the sales of the company’s
securities not registered under the Securities Act of 1933, as amended from September 30, 2017 to date. This amendment to the
Initial 8-K is being filed by the company to amend
Exhibit 99.1
attached to the
report to include the nature of the consulting services received for shares issued, the duration of services provided and the
facts relied upon to make the claimed exemption from registration available.
