                         Issue of a further #21,600,000
             7 per cent. Secured Bonds due 2032 (the "New Bonds")
  issued at an issue price of 101.9385 per cent. payable in full on acceptance.
The New Bonds will be consolidated with #60,750,000 7 per cent.  Secured Bonds
      due 2032 of Haven Funding (32) PLC (the "Original Bonds") to form a
       single series of #82,350,000 7 per cent.  Secured Bonds due 2032
