Statutory notice to bondholders in connection with the merger of
Elenia Finance Oyj with and into Elenia Verkko Oyj (formerly Elenia
NewCo Oyj)
Elenia Finance Oyj EUR3,000,000,000 Multicurrency Programme for
the Issuance of Bonds, unconditionally and irrevocably guaranteed
by Elenia Oy, Elenia Palvelut Oy, Elenia Holdings S.à r.l., Elenia
Finance (SPPS) S.à r.l., Lakeside Network Investments Holding B.V.,
Lakeside Network Investments S.à r.l., Elenia Investments S.à r.l.
and Elenia Verkko Oyj (formerly Elenia NewCo Oyj)
In relation to the pending merger of Elenia Finance Oyj with and
into Elenia Verkko Oyj (formerly Elenia NewCo Oyj) (the "Merger"),
announced on 14 February 2020 and being carried out as part of the
ongoing reorganisation of the Elenia group of companies announced
on 4 November 2019 and approved by creditors by way of STID
Proposal as announced on 28 November 2019 (the "Reorganisation"),
Elenia Finance Oyj gives the following announcement.
In connection with all statutory mergers where the merging
company is a Finnish limited liability company, Finnish law
stipulates that the Finnish Trade Register shall issue a public
notice containing information on the rights of creditors under the
Finnish Limited Liability Companies Act (statute 624/2006) in
connection with the merger. The merging company shall also notify
its known creditors that the Finnish Trade Register has issued such
a public notice.
This announcement serves as a statutory notice required under
Finnish law in connection with the Merger, notifying all
bondholders that the Finnish Trade Register has on 17 February 2020
issued a public notice concerning the rights of the creditors of
Elenia Finance Oyj in connection with the Merger. The complete
public notice is set out in the trade register extract of Elenia
Finance Oyj, which is available in the Finnish language at the
