                      Appointment and Change to Directors                      

The Board of ADL plc ("ADL") is pleased to announce the appointment of Daniel
Fernley Francis FCA (known as "Danny"), aged 56, as Finance Director with
effect from 1 March 2005. Danny Francis, who was formerly Finance Director of
NHP Plc from 1993 until 2003, joins his previous NHP colleagues Jeremy Davies
and Richard Ellert, who remains Company Secretary and becomes the Group's
Commercial Director responsible for ADL's development plans.

In order to obtain a significant shareholding in ADL, Danny Francis purchased
50,000 ADL ordinary shares at 90p per share from the Chairman, Peter
Dewe-Mathews, last Thursday to increase his holding to 150,000 ADL ordinary
shares.

Peter Dewe-Mathews, Chairman of ADL, commented on the appointment of Danny
Francis "We are delighted to have Danny joining the Board of ADL as Finance
Director with the commitment he has already shown by purchasing 150,000 shares.
The management has now increased its share holding in the Company to 78% (from
76.9%). I believe that we have one of the strongest management teams in the
care sector that gives ADL a solid foundation for growth."

Danny Francis is currently a director of the following companies: Compton
Consulting Limited, Milton Holdings (UK) Limited and Solent Cancer Care Centre
Limited. Danny Francis has been a director of the following companies in the
past five years: NHP Plc, NHP Securities No. 1 Limited, NHP Securities No. 2
Limited, NHP Securities No. 3 Limited, NHP Securities No. 4 Limited, NHP
Securities No. 6 Limited, NHP Securities No. 7 Limited, LLNH Limited, NHP
Management Limited, Nursing Home Properties Limited, NHP Healthcare
Partnerships Limited, Platinum Healthcare Limited, Ultima Care Limited, Eton
Hall Homes Limited, Ultima Healthcare Limited, Ultima Holdings Limited and G R
Patrick & Co Limited.
