                   ANNOUNCEMENT TO THE OSLO STOCK EXCHANGE 
                       AND THE LONDON STOCK EXCHANGE

Axis-Shield plc today received notification from AXA Investment Managers UK Ltd
that, as at 23 January 2006, AXA SA and its group companies have an interest in
5,410,667 ordinary shares, representing 11.15% of Axis-Shield plc's issued
ordinary share capital. These shares are represented by a beneficial interest of
4,307 shares (0.01%) and a non-beneficial interest of 5,406,360 shares (11.14%).
This disclosure has been made by AXA Investment Managers UK Ltd on behalf of AXA
SA and its group companies as a result of its aggregate interest increasing from
10.92% to 11.15%.

This announcement requires to be made on the London Stock Exchange and is
repeated in Norway for Oslo Stock Exchange purposes in accordance with the
"equivalent information" rule (Rule DR 2.4 of the UK Listing Authority Rules).
