                            Dissolution of Subsidiary

Mizuho Holdings, Inc. has announced that its wholly-owned subsidiary, The Fuji
Bank, Limited ("Fuji Bank"), decided to dissolve Fuji Bank International Finance
N.V., a Fuji Bank's wholly-owned subsidiary, as follows.


1. The Subsidiary to be Dissolved

2. Reason for Dissolution
