    BEAR STEARNS PRIVATE EQUITY LIMITED (the "Company")

    CIRCULAR

    The Company has today published a circular to Shareholders giving details of proposals involving the change of name of the Company,
adoption of new articles of incorporation, capital reorganisation, authorisation for the Company to allot Shares, disapplication of
pre-emption rights, renewal of the authorities of the Company to make tender offers for and buybacks of Shares and change to the Company's
dividend policy. The circular contains a notice of EGM to be held at 4.30 p.m. on 5 September 2008.
