QUALIFYING EMPLOYEE SHARE OWNERSHIP TRUST ("QUEST")

I R Fraser, J W Cumming, D J Hollywood and M R Porter 
(together the "Directors")

Notification of Director's Interests pursuant to section 324(2) of the Companies
Act 1985.

1.  The Company became aware on 27 June 2000 that each of the Directors
technically became interested on 27 June 2000 in 1,631 ordinary shares of 20
pence each in the Company by virtue of the QUEST being allotted such shares and
the Directors being potential beneficiaries under the QUEST.

2.  The Company became aware on 27 June 2000 that each of the Directors
technically ceased to be interested on 27 June 2000 in 1,631 ordinary shares of
20 pence each in the Company by virtue of the QUEST transferring such shares to
employees of the Company.
