NOTIFICATION OF DIRECTORS' INTERESTS PURSUANT TO SECTION 324 AND SCHEDULE 13 OF
THE COMPANIES ACT 1985 AND CHAPTER 16 OF THE STOCK EXCHANGE LISTING RULES

1     The Company is aware that on 24 February 2000 each of the Directors noted
      below technically became interested in 96,293 ordinary shares of 10 pence
      each in the Company by virtue of the BTP Employee Benefit Trust ("the     
     EBT") being allotted such shares and the Directors being potential 
      beneficiaries under the EBT.

2     The Company is aware that on 24 February 2000 each of the Directors noted
      below technically ceased to be interested in 96,293 ordinary shares of 10
      pence each in the Company by virtue of the EBT transferring shares to 
      employees of the Company and its subsidiary undertakings, not including 
      any of the Directors named below.
