Directorate changes
Appointment and resignation of non-executive directors
Dobbies Garden Centres plc ("Dobbies" or "the Company") announces that Lucy
Neville-Rolfe, Executive Director (Corporate and Legal Affairs) of Tesco PLC,
has been appointed as non-executive Chairman of Dobbies with effect from 26
September 2007. In addition, Jonathan Lloyd, Company Secretary of Tesco PLC, and
Eamonn O'Hare, UK Finance Director of Tesco PLC, have been appointed as
non-executive directors of the Company with effect from 26 September 2007.
Dobbies also announces that, as referred to in the offer document posted by
Tesco Holdings Limited to Dobbies' shareholders on 20 June 2007, Johnny Trotter,
William Thomson and David Stevenson have resigned from their positions as
non-executive directors of Dobbies and Alex Hammond-Chambers has resigned from
his position as non-executive Director and Chairman of Dobbies.
As a result of these changes, the board of Dobbies now comprises: Lucy
Neville-Rolfe (non-executive Chairman); James Barnes (Chief Executive); Sharon
Brown (Finance Director); Jonathan Lloyd (non-executive director); and Eamonn
O'Hare (non-executive director). Dobbies headquarters continue to be in
Dalkeith, Midlothian.
Information on Dobbies
* Dobbies is one of the UK's leading garden centre retailers with 22
stores across the UK. Headquartered in Midlothian, Dobbies has over 1,500
employees.
* For the year ended 31 October 2006, on a UK GAAP basis and from
continuing operations, Dobbies reported revenues of approximately #68.8
million and profit before taxation of approximately #5.4 million. Net
assets as at 31 October 2006 were approximately #42.6 million.
* For the six months ended 30 April 2007, on a UK GAAP basis and
from continuing operations, Dobbies reported revenues of approximately
#40.0 million and profits before taxation of approximately #2.5 million.
Net assets as at 30 April 2007 were approximately #44.1 million.
Dobbies' strategy
James Barnes, Chief Executive, said: "Our strategy for the future remains
unchanged - to position Dobbies as the leading garden and homes retailer in the
UK and to develop the horticultural and environmental aspects of our brand that
reinforce our position as first choice for plants and gardening. I believe we
have a unique opportunity to deliver this.
Our ambition is to raise the growth rate of the business in the coming years,
through new site developments, by acquisitions as and when appropriate, and via
our new internet business.
We will continue to innovate and differentiate in our product range, our
customer service and our buildings and architecture.
These steps, combined with a focus on economies of scale and improved margins,
give us cause for some excitement about the future."
Information on new non-executive directors
Lucy Jeanne Neville-Rolfe, 54, was appointed to the board of Tesco PLC as
Corporate and Legal Affairs Director in 2006. She joined Tesco PLC from the
Cabinet Office in 1997 and was Company Secretary from 2004-2006. She is Deputy
Chair of the British Retail Consortium and a member of the China Britain
Business Council and of the Corporate Leaders Group on Climate Change.
Jonathan Mark Lloyd, 41, was appointed Company Secretary to the Board of Tesco
PLC in December 2006. He joined Tesco as Deputy Company Secretary and Corporate
Secretariat Director in April 2005 from Freshfields Bruckhaus Deringer.
Eamonn Francis O'Hare, 43, joined Tesco PLC in 2005 as UK Finance Director.
Before joining Tesco, Eamonn was the CFO of Energis Communications and prior to
that he spent 10 years with PepsiCo in a series of senior international finance
roles.
