The Company confirms that the following documents are available on its website at www.greencompliance.com:

   --      The memorandum and articles of association of the Company;

-- the audited consolidated financial statement of the Company for the financial years ended 31 March 2012 and 31 March 2013;

-- the preliminary consolidated financial statements of the Company for the financial year ended 31 March 2014;

-- the written consent of the Company's independent financial adviser to the inclusion of its advice in the scheme document, which was posted to Green Compliance Shareholders on 13 August 2014 (the "Scheme Document"), in the form and context in which it is included;

-- the irrevocable undertakings received by APC Technology Group plc ("APC") in connection with the Offer;

-- the reports of the reporting accountant and of the financial adviser in connection with the quantified financial benefits statement set out in the Scheme Document;

-- the written consents of the Company's reporting accountants and financial adviser to the inclusion of their reports in connection with the quantified financial benefits statement in the Scheme Document in the form and context in which they are included;

   --      the confidentiality agreement between the Company and APC; 
   --      the press announcement dated 30 July 2014 relating to the Scheme;

-- the Scheme Document, the form of proxy in connection with the Court Meeting and the form of proxy in connection with the General Meeting;

   --      APC's circular to APC Shareholders in respect of the APC General Meeting;

-- APC's press announcement date 13 August 2014 relating to the posting of the APC circular to APC Shareholder in respect of the APC General Meeting; and

   --      The press announcement dated 13 August 2014 relating to the posting of the Scheme Document.

The Company also wishes to clarify paragraph 11 (i) and paragraph 11 (j) of Part VI of the Scheme Document in that Green Compliance is acting in concert with its financial adviser, N+1 Singer, and APC is acting in concert with its financial adviser, Strand Hanson Limited and its broker, Northland Capital Partners Limited.

Unless otherwise defined herein, capitalised terms and expressions used in this announcement shall have the meanings ascribed to them in the Scheme Document.
