Distribution of Gold Fields Limited ("GFL") and Standard Bank
Investment Corporation Limited ("Stanbic") shares
held by GFSA to GFSA shareholders

Further to the announcement published on Thursday 17 September 1998, Rand
Merchant Bank Limited is authorised to announce that:

* the High Court of South Africa (Witwatersrand Local Division) has confirmed
the reduction of GFSA's share premium in terms of section 84 of the Companies
Act, 1973 (Act 61 of 1973), as amended and has granted an Order to that
effect; and
 
* the special resolution passed at the GFSA general meeting, together with the
Order of Court confirming the reduction of share premium, have been registered
by the Registrar of Companies.

Accordingly, the GFL and Stanbic shares, held by GFSA, will be distributed to
GFSA shareholders who are registered in the GFSA shareholders registers at
21:00 on Friday 16 October 1998.

Share certificates in respect of the GFL and Stanbic shares and cheques in
respect of fractional entitlements will be posted to GFSA shareholders, at
such shareholders risk, by no later than Friday 23 October 1998.
