("GeoPark" or the "Company")

Non Executive Directors' Fees

GeoPark announces that, pursuant to Rule 21 of the AIM Rules for Companies, Steven Quamme, Juan Cristobal Pavez, Peter Ryalls and Carlos Gulisano, Non Executive Directors of the Company, have each entered into binding commitments with the Company to receive all future directors' fees (the "Fees") in the proportions of cash and ordinary shares of US$0.001 each (the "Shares") as set out below. The Fees shall be payable in arrears in equal installments on 15 February, 15 May, 15 August and 15 November each year. The number of Shares to be issued shall be determined by using the following formula:

fixed quarterly director fee (less any tax and social security contributions)
