Goldshield Group plc ( " the Company")

Application has been made to the UK Listing Authority and to the London Stock
Exchange for a Block Listing of 30,000 ordinary shares of 5p each to be admitted
to the Official List.

These shares will be available for allocation to Ken Pelton , non-executive
Director as part of his remuneration.

Ken Pelton is entitled to issue of 27,016 shares in lieu of consultancy fees for
the financial years ended 31 March 2004 and 31 March 2005 calculated on the
basis of the market price on 6 December 2004. Half the shares of Ken's
entitlement will be issued to his wife Mrs A M Pelton, at his request.

The shares will rank pari passu in all respects with the existing shares in
issue.
