Results of AGM and EGM

The directors of Goldshield are pleased to announce that at today's annual
general meeting and extraordinary general meeting all resolutions were passed.
 
The resolutions included proposals to approve the acquisition of certain
product licences and trademarks from SmithKline Beecham p.l.c. and to approve
the placing and open offer of 4,022,502 new ordinary shares of 5p each.

The directors expect to complete the product licence and trademark
acquisitions and that dealings in the new ordinary shares will commence on 5
August 1999.
