Directors Shareholding


In relation to the provision of services as non-executive directors, HCEG is
pleased to allot ordinary shares in satisfaction of professional fees as
follows:


Mr Nicholas Brigstocke 13,516 ordinary shares of 2.5p each in the Company (9,782
ordinary shares at 46p per share and 3,734 ordinary shares at 120.5p per share),
bringing Mr Brigstocke's total (direct and indirect) interests in the Company to
3,446,873 ordinary shares, representing 2.24% in the issued share capital of the
Company;


Mr Lyndon Gaborit 5,732 ordinary shares of 2.5p each in the Company (at 78.5p
per share), bringing Mr Gaborit's total (direct and indirect) interests in the
Company to 3,188,872 ordinary shares, representing 2.06% in the issued share
capital of the Company;


Mr Mark Tompkins 16,304 ordinary shares of 2.5p each in the Company (at 46p per
share), bringing Mr Tompkins's total (direct and indirect) interests in the
Company to 3,054,257 ordinary shares, representing 1.97% in the issued share
capital of the Company; and


Mr Nigel Wray 4,812 ordinary shares of 2.5p each in the Company (at 93.5p per
share), bringing Mr Wray's total (direct and indirect) interests in the Company
to 14,280,897 ordinary shares, representing 9.35% in the issued share capital of
the Company.


Application has been made for the 40,364 ordinary shares to be admitted to AIM,
bringing the total issued share capital of the Company to 152,798,747.
