Result of Special General Meeting
and
Suspension of trading of shares on
AIM
HipCricket, Inc. (the "Company") announces that, at the Special General Meeting
of stockholders of the Company held on Friday 26 June 2009, the resolution to
approve the cancellation of the trading on AIM in the Company's shares of common
stock of US$0.01 each (the "AIM Cancellation") was passed by the requisite 75%
majority of stockholders (as required by the AIM Rules for Companies).
The AIM Cancellation will therefore take place at 7:00 a.m. (London time) on
Monday, 6 July 2009.
The Company will not now be publishing its audited accounts for the year ended
31 December 2008 (the "2008 Accounts") prior to 30 June 2009 (as required by the
AIM Rules for Companies) and, as a result, trading on AIM in the Company's
shares of common stock will be suspended with effect from 7.00pm on Wednesday 1
July 2009 pending the AIM Cancellation itself.
The 2008 Accounts will be sent to Shareholders shortly after the AIM
Cancellation.
