HEYWOOD WILLIAMS GROUP PLC ("the COMPANY")

Pursuant to Hamish Bryce's remuneration agreement with Heywood Williams Group
PLC, it is announced that on 24 May 1999 Mr Bryce acquired 925 ordinary shares
of 25p each in the Company at a price of 271p per share.

Following this purchase Mr Bryce is interested in a total of 29,295 ordinary
shares.
