Pursuant to Hamish Bryce's remuneration agreement with Heywood Williams Group
PLC, it is announced that on 23 July 1999 Mr Bryce acquired 916 ordinary shares
of 25p each in the Company at a price of 303p per share.

Following this purchase Mr Bryce is interested in a total of 31,362 ordinary
shares.
