Agreement with ACP Capital Limited and ACP Mezzanine Limited 
 
 
 
 
IFR Capital PLC (AIM: IFR), the investment company focused on consolidation 
opportunities in the European food retail sector, announces it was notified on 
25 November 2009, that Heiner Kamps, the Company's Chief Executive 
Officer, acquired 58,562,862 ordinary shares in the Company from ACP Capital 
Limited ("ACP Capital") for a price of EUR 0.13 per ordinary share. Accordingly, 
on 25 November 2009, Heiner Kamps became and remains the director holder of 
170,609,281 ordinary shares representing 40.35 per cent. of the total voting 
rights of the Company. 
 
 
Furthermore, the Company has been informed that Textil Romania S.a.r.l. acquired 
all of the 4,820,000,000 Class A preference shares in IFR Jersey Limited of EUR 
0.01 each from ACP Capital and ACP Mezzanine Limited ("ACP Mezzanine"). 
 
 
As last reported within the Company's interim results statement on 7 September 
2009, IFR and ACP Capital had been involved in ongoing legal proceedings. IFR is 
also now pleased to announce that it has settled all outstanding litigation with 
ACP Capital and its subsidiary, ACP Mezzanine, without any admission of 
liability and with each party bearing its own cost.
