INTERNATIONAL TOOL & SUPPLY PLC (in the course of changing its name 
Equipoil plc)

Pending the circulation to shareholders of International Tool & Supply plc
("ITS") of certain revised information relating to the proposed merger with
Offshore Tool & energy Corporation ("OTE"), the decision was taken at
yesterday's second EGM that the meeting be adjourned until 11 am on 17
November 1998 at 32 St Mary at Hill, London EC3P 3AJ.  

It is expected that such information will be circulated to shareholders
shortly.  Whilst your Directors remain confident that the transaction will
proceed there maybe the need to update the document relating to the admission
of the OTE shares to trading on AIM.
