Norseman Gold Plc ("Norseman" or "Company")

DOCA Update

On 11 April 2013 a report to creditors in Norseman's principal operating subsidiary Central Norseman Gold Corporation Limited ("CNGC") was issued proposing amendments to the Deed of Company Arrangement ("DOCA") executed by the Company on 11 March 2013.

The DOCA originally contained five conditions required for settlement, all of which are capable of being met by either CNGC or the trustee of the DOCA other than condition (a) which requires the secured creditors of CNGC to enter into the Secured Creditor Deed.

In order to enact settlement of the DOCA, it is proposed that at a meeting of creditors to be held on 24 April 2013 a resolution will be proposed to remove condition (a) and thus allow the DOCA to complete according to its terms. Assuming the resolution is approved it is anticipated that settlement of the DOCA will take place on or before 30 April 2013.
