    New Star Financial Opportunities Fund Limited (the "Company")

    In conformity with the Disclosure and Transparency Rules 5.6.1, the Company announces the following in relation to its share capital. As
at the date of this announcement, the Company's issued share capital consists of 38,132,932 Ordinary Shares, with a nominal value of 0.1p
each. The Company holds no Ordinary Shares in Treasury and therefore the total number of voting rights in the Company is 38,132,932.

    The total number of voting rights in the Company, therefore, is 38,132,932, all of which are identical.   This figure may be used by
Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a
change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
