   Publication of a Circular (the "Circular") in connection with 
recommended proposals relating to 
 
 
   -- an amendment the Company's Articles to provide for the C Share Dividend 
 
   -- an election to receive the C Share Dividend 
 
   -- the conversion of C Shares to Ordinary Shares 
 
   -- the cancellation of the Company's share premium account 
 
   -- the reduction of the Company's share capital 
 
   -- the buyback of deferred shares 
 
 
   On 28 November 2014 the Company acquired the assets and liabilities of 
Octopus VCT plc ("OVCT") in consideration for the allotment of C Shares 
to the former shareholders of OVCT. At the time of this merger, the 
former shareholders of OVCT were informed that in the summer of 2015, 
once their five-year VCT qualifying period had been achieved, an 
opportunity would be provided to exit their investment in the Company or, 
should they wish to continue their investment, to have their C Shares 
converted into Ordinary Shares on a relative net asset value basis in 
accordance with the Articles. The Company has today issued the Circular 
in order to implement these exit and conversion proposals.
