                        Summary of Directors' share plan



In accordance with Rule 17 of the AIM Rules For Companies, PRG is issuing
notification of grants of deferred share awards over the ordinary shares of 10p
each ("Ordinary Shares") in the Company.



Following approval by the shareholders at the Annual General Meeting on 3 May
2005, the Public Recruitment Group PLC Performance Share Plan, a "Long Term
Incentive Plan" ("LTIP"), was introduced.  Under the LTIP, awards of deferred
shares or options with a nil exercise price over the Ordinary Shares may be
made.  On 2 March 2007 certain of the executive directors were awarded deferred
Ordinary Shares conditional upon the Company achieving a return that is better
than selected comparator companies.



A summary of deferred share awards in respect of the executive directors to whom
awards have been made to date are set out below:
