           Quadrant Group plc ("the Company")

Application has been made for 55,000 ordinary  shares  of
20p  each  in  the  Company  ("Ordinary  Shares")  to  be
admitted  to the Official List.  The Ordinary Shares  are
being  issued  pursuant to the issue of these  shares  as
part  consideration for the acquisition of  shares  in  a
subsidiary  of  the  Company. Admission  is  expected  to
become effective on 24 September 1998.
