                       Closure of Offers for Subscription


The Directors announce that the offers for subscription ("the Offers") announced
on 4 December 2001 will close at 5pm today, 31 May 2002 in accordance with their
terms. A total of 18,013,134 ordinary shares of 1 p each ("Ordinary Shares")
available under the Offers have been allotted to subscribers at a price of £1.

The Directors reserve the right to accept applications accompanied by the
required remittance which are received after 5pm on Friday 31 May but not later
than 10am on Thursday 6 June, provided that the cover bears a legible post-mark
not later than 3pm on



31 May 2002.
