                            DIVIDEND PROPOSAL

In a meeting held on 4 March 1999, the supervisory board and the management
board of Rolinco N.V. agreed to propose to the general meeting of shareholders
to pay a cash dividend of EUR 0.88 (NLG 1.94) per ordinary share for the
financial year 1998 (for the financial year 1997, a cash dividend of NLG 1.52
was paid).

Rolinco's annual report will be published on Wednesday, 24 March 1999.  The
annual general meeting of shareholders will be convened in Rotterdam on
Thursday, 22 April 1999.  Rolinco shares will be quoted ex dividend from 26
April 1999.  On acceptance of this proposal, dividend will be made payable in
euros.
