Resolved, that a dividend, in the amount of $0.155 per share on the common 
stock, payable on July 1, 2003 to stockholders of record at the close of 
business on June 2, 2003, as they appear on the records of this Corporation 
maintained by its Shareholder Services Department (the "Department"), be and is 
hereby authorized, and that the Department is hereby appointed disbursing agent 
for the dividend authorized by the adoption of this resolution.
