DECLARATION OF DIVIDEND

RESOLVED that a dividend, in the amount of $0.145 per share on the common stock,
payable on April 3, 2001 to stockholders of record at the close of business on
March 1, 2001, as they appear on the records of this Corporation maintained by
its Shareholder Services Department (the "Department"), be and is hereby
authorized, and that the Department is hereby appointed disbursing agent for the
dividend declared by the adoption of this resolution.
