VOCALIS GROUP PLC (the "Company")

Substantial shareholding

The Company received notifications on 15 and 17 December 1999 that on 14 and
17 December 1999 Prelude Technology Fund II Limited Partnership sold 500,000
ordinary shares and 250,000 ordinary shares respectively.  Following these
transactions, Prelude Technology Fund II Limited Partnership is interested in
1,220,198 ordinary shares, representing 2.8 per cent. of the Company's issued
share capital.

Dr Robert Hook, a non-executive director of the Company, is a director of
Prelude Technology II Limited, the general partner of Prelude Technology Fund
II Limited Partnership.
