Result of Extraordinary General Meeting

At the extraordinary general meeting of the Company held earlier today, the
resolutions regarding the Placing and Open Offer announced on 28 November 2001
were passed by Shareholders.

Application has been made for the New Ordinary Shares to be admitted to the
Official List of the UK Listing Authority and to trading on the London Stock
Exchange's market for listed securities. Such admission is expected to take
place on Friday, 28 December 2001.
