                       Vert-eco Group plc ("the Company")



                                 Result of EGM



The Company hereby confirms that at the EGM held earlier today, all the
resolutions as set out in the notice of meeting sent to the Company's
shareholders on 25 November 2004 relating, inter alia, to the proposed
acquisition of HydroDec Development Corporation Pty Limited ("HydroDec") were
duly passed.



As a result, it is expected that the Company's issued share capital as enlarged
by the acquisition of HydroDec will be admitted to trading on AIM on 21 December
2004 and that the acquisition will complete at that time.
