                         - Issue of additional shares -



The Board of ZincOx Resources plc announces that it has authorised the issue of
20,000 new ordinary shares of 25p each to Irwin Jacobs Greene Limited, as
consideration for their role in obtaining the Company's recently acquired Tsumeb
project.  These additional shares are being issued at an equivalent price of
120p.



Application has been made to the London Stock Exchange for the new ordinary
shares to be admitted to trading on the Alternative Investment Market and it is
expected that dealings will commence on Monday 18 February 2002.
