Notice of General
Meeting
The Directors of Ananda Developments
PLC are pleased to announce that, further to the
announcement of 9 September 2024 regarding the Fundraise and
Proposed Debt Capitalisation, the
Company is today posting a Notice of Meeting to Shareholders
convening a General Meeting ("GM") of the Company to approve the
Proposed Debt Capitalisation for 2.00 p.m. on 8th October 2024.
The GM is to be held at the offices
of Shakespeare Martineau LLP, 6th Floor, 60 Gracechurch Street,
London EC3V 0HR, at which the following resolutions will be
proposed:
Resolution 1 - Authority to allot
shares; and
Resolution 2 - Disapplication of
pre-emption rights.The passing of Resolution 1 will require the
approval of Shareholders by way of a simple majority.
Resolution 2 will require the approval of a majority of not less
than 75% of the votes cast by those entitled to vote.
