                    East Surrey Holdings plc ("the Company")

                      Significant shareholder notification


The Company was informed on Friday 15 August that, at an EGM of The Special
Utilities Investment Trust PLC ("SUIT") held on 13 August 2003, proposals for
the winding up of SUIT were duly passed. Utilico Investment Trust plc 
("Utilico") has been established as a successor to SUIT and has acquired a
portfolio of investments from it. SUIT is therefore no longer a holder of
ordinary shares of 5p each in the Company ("Ordinary Shares"). Utilico is now
interested in 4,537,813 Ordinary Shares which represents approximately 9.1% per
cent. of the issued ordinary share capital of the Company.
