Re : Ian R. Peacock, Chairman

Following the appointment of Ian Peacock as Chairman of the Company, and as
originally announced on 22 November 2002, a share award was made to Ian Peacock,
the effect of which was to entitle him to receive 31,898 shares on each of 21
November 2003, 2004, and 2005, subject to him being employed by the Company on
each of the vesting dates. No payment for the shares is required from Ian
Peacock, it being an element of his total remuneration each year.

The first tranche of 31,898 shares for the period ended on 21 November 2003 was
transferred to Ian Peacock on 26 November 2003.
