Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 31, 2025, the Compensation Committee of the Board of Directors of 89bio, Inc. (the “Company”) approved the grant of 200,000 restricted stock units (“RSUs”) to Rohan Palekar, the Chief Executive Officer of the Company. Consistent with the previously disclosed retention RSU grants to certain officers in December 2024, the RSUs vest in equal semiannual installments over the 24-month period following the grant date, subject to Mr. Palekar’s continued service to the Company through each applicable vesting date.
