on the Notes will be payable on January 30 and July 30 of each year to, but excluding, January 30, 2027, or the earlier redemption
date, and quarterly thereafter on January 30, April 30, July 30, and October 30 of each year to, but excluding, the maturity date
or earlier redemption date. The first interest payment will be made on July 30, 2022.

Redemption:

Company may, at its option, beginning with the interest payment date of January 30, 2027, and on any interest payment date thereafter,
redeem the Notes, in whole or in part, from time to time, subject to obtaining the prior approval of the Federal Reserve (or, as
and if applicable, the rules of any appropriate successor bank regulatory agency) to the extent such approval is then required under
the rules of the Federal Reserve (or such successor bank regulatory agency), at a redemption price equal to 100% of the principal
amount of the Notes being redeemed, plus accrued and unpaid interest to, but excluding, the date of redemption (as described in the
Preliminary Prospectus Supplement under “Description of the Subordinated Notes — Redemption”).

The
Company may also redeem the Notes at any time prior to their maturity, including prior to January 30, 2027, in whole, but not in
part, subject to obtaining the prior approval of the Federal Reserve (or, as and if applicable, the rules of any appropriate successor
bank regulatory agency) to the extent such approval is then required under the rules of the Federal Reserve (or such successor bank
regulatory agency), if (i) a change or prospective change in law occurs that could prevent the Company from deducting interest payable
on the Notes for U.S. federal income tax purposes, (ii) a subsequent event occurs that could preclude the Notes from being recognized
as Tier 2 Capital for regulatory capital purposes, or (iii) the Company is required to register as an investment company under the
Investment Company Act of 1940, as amended, in each case, at a redemption price equal to 100% of the principal amount of the Notes
being redeemed, plus accrued and unpaid interest to, but excluding, the date of redemption.

As of September 30, 2021, on a consolidated basis the Company had, in the aggregate, outstanding liabilities, excluding long-term debt, of approximately $6.5 billion, which included approximately $6.4 billion of deposits. In addition, as of September 30, 2021, the Company had $64.1 million of indebtedness that would rank senior to the Notes, no indebtedness that would rank pari passu with the Notes, and $61.9 million of indebtedness related to the Company’s trust preferred securities that would rank junior to the Notes.
