Section 8 — Other Events

     Item 8.01 Other Events.

     On November 11, 2009, Waste Services, Inc., a Delaware corporation (“Waste Services”), and IESI-BFC Ltd., an Ontario corporation (“IESI-BFC”), issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated November 11, 2009, by and among Waste Services, IESI-BFC and IESI-BFC Merger Sub, Inc., a Delaware corporation and a wholly-owned subsidiary of IESI-BFC (“Merger Sub”), which provides, among other things, for Merger Sub to merge with and into Waste Services. After the merger, Waste Services will continue as the surviving corporation and a wholly-owned subsidiary of IESI-BFC. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
