Explanation of Responses:
(1)  Represents ordinary shares of Cision Ltd. (the "Issuer") sold by Capitol Acquisition Management 3 LLC pursuant to the option of the underwriters to purchase additional shares in connection with the offering of ordinary shares of the Issuer on Form S-3 as contemplated by that certain underwriting agreement, dated September 12, 2018, among the Issuer, Capitol Acquisition Management 3 LLC and the other selling shareholders named therein, and Deutsche Bank Securities Inc., Citigroup Global Markets Inc. and Goldman Sachs & Co. LLC as representatives of the several underwriters named therein. The selling price of such shares was $15.44 per share, which represents the price to public less the underwriting discount and commission.
(2)  Consists of 3,575,214 ordinary shares held by Capitol Acquisition Management 3 LLC and 11,865 ordinary shares held by Leland Investments Inc.
(3)  Mr. Ein controls Capitol Acquisition Management 3 LLC.
(4)  Mr. Ein controls Leland Investments, Inc.
