On December 16, 2008, Fleetwood Enterprises, Inc. (the “Company”) issued a press release, which is attached hereto as Exhibit 99.1 and incorporated by reference herein, announcing the completion of the exchange offer, launched on November 6, 2008, to issue shares of the Company’s common stock in exchange for its remaining 5% convertible senior subordinated debentures (the “Debentures”) pursuant to the indenture governing the Debentures .
