(2) | Represents shares automatically sold to cover tax withholding obligations associated with the vesting of a restricted stock unit award. |
(3) | The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $2.7500 to $2.7662, inclusive. ("Aeva"), each share of Aeva common stock issued and outstanding immediately prior to the effective time of the transactions contemplated by the Business Combination Agreement was automatically converted into the right to receive a number of shares of the Issuer's Common Stock based on a 1-to-9.07659 conversion ratio. |
