Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 21, 2022, the Board of Directors of Mayville Engineering Company, Inc. (the “Company”) elected Robert L. McCormick as a Class III director of the Company to serve for a term to expire at the Company’s 2023 annual meeting of shareholders. Mr. McCormick has also been appointed to serve on the Audit Committee of the Board of Directors.
A copy of the press release announcing the foregoing is filed as Exhibit 99 to this Current Report on Form 8-K and is incorporated by reference herein.
There is no arrangement or understanding between Mr. McCormick and any other persons pursuant to which Mr. McCormick was selected as a director.
Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Prior to the election of Mr. McCormick as a new director of the Company as described in Item 5.02 of this Current Report on Form 8-K, the Board of Directors approved an amendment to Section 3.01 of Article III of the Bylaws of the Company to increase the size of the Board of Directors from seven directors to eight directors. This amendment was effective on December 21, 2022.
