The Carphone Warehouse Group PLC ('Company')

Director Shareholding

The Company hereby gives notice that David Ross, Deputy Chairman of the Company,
has pledged 15,000,000 ordinary shares of 0.1p each in the capital of the
Company in favour of Schroders PLC as security ('Pledge Shares').

There is no disposal of the Pledge Shares and therefore his overall shareholding
in the Company remains at 216,590,759 ordinary shares (including Pledge Shares),
being approximately 24.8% of the issued share capital of the Company.
