Director Shareholding

Interserve Plc ("the Company") announces the grant of an Award to Mr S B
Hagerty of an option over 16,750 ordinary shares of 10p each, pursuant to the
Interserve Plc Share Matching Plan ("the Plan") on 7 April 2003.

The Award may be exercised after a period of three years, subject to the
fulfilment of performance criteria and payment of a total consideration of �1.
