Directors Shareholding

Interserve Plc (`the Company') announces that on 23 April 2003 it granted
options over 200,000 ordinary 10p shares to Mr Adrian Michael Ringrose at a
price of 205.83 pence per share, pursuant to the Interserve Plc 2002 Executive
Share Option Scheme.

These options are exercisable between 23 April 2006 and 23 April 2013.
