Directors' Disclosure - Rule 16.4

Further to the announcement made on 16 June 2003 regarding the appointment of
Mr Tim Jones to the Board of Interserve Plc ("the Company"), the Company
confirms that there are no matters which require to be disclosed in respect of
Rule 16.4.
