Oh! Miami judge deals major blow

Judge: Companies Must Pay
https://www.usnews.com/news/us/articles/2022-03-22/judge-cruises-to-cuba-were-not-allowed-companies-must-pay

'With Judge Bloom’s ruling, the four cruise lines are nearing a binary choice — accept a jury trial or negotiate a settlement,' said John Kavulich, president of the US-Cuba Trade and Economic Council, in a blog post. 'As the plaintiffs seem to be seeking compensation (potentially US$100 million US$400 million) based upon what the Libertad Act permits, the four cruise lines will determine if a decision by a jury could be more costly than using the Libertad Act formulas to calculate what is owed to the plaintiffs.

'Key to remember,' Kavulich noted, 'the jury will be residents of the Miami, Florida, area, and will certainly include individuals of Cuban descent.' https://www.seatrade-cruise.com/legal-regulatory/cruise-giants-face-jury-trial-damages-cuba-trafficking

Nice to see this trade again. Wish I had a Canadian account.

Buyer got a bargain. I remember looking at this at the time the lawsuit was filed and thinking that the very minimum that they might settle for would be $20 million which is $35 per share.

The defendants are a huge sugar company that is currently private. Another possible way to settle this is for a takeover of FRAZ by the defendants which would make the private company publicly traded after updating the new financials. This would kill two birds with one stone and the new public company would also own the original $59 million certified claim against Cuba.

It’s Canadian retail investors like us in the US. E-trade Canada has different rules when buying and selling dark tickers

Many of us in the US have been raking our brains how to get one.

Powers have been brainstorming way longer than us to keep us from getting one.

And be able to fund that foreign account through cryptos LOL
Avoid bringing money into this country and avoid all that drama.

Interesting move today.
Canadian E-traders able to buy this?

What is the claim against FRAZ that they were trafficking?
And I assume it’s assets out of Cuba that used to belong to old pre 1960 free Cubans?
Or are we talking kids and that chit?

Absolutely following the issue as a whole and how its applied direct, indirect in the peripheral its all relevant in the courts internally, externally it all matters ...

gets more exciting than ever but sure your well aware thanks for the question Lindy

Litigation related to the application of Title III of the Helms-Burton Act (Cuba)

Several EU persons and companies reported that they received a notice of intent to start an action before US courts under Title III of the Helms-Burton Act.

These notices were sent by US persons or companies claiming that EU companies had engaged in ‘trafficking’ of expropriated properties in Cuba. They generally inform the EU company that legal action will be initiated unless the recipient of the notice immediately ‘ceases to traffic’ in the property. The Commission was also notified of the start of formal proceedings before US courts.

In this regard, courts in the US on two occasions accepted to stay the proceedings while the EU defendant requests authorisation from the Commission. The Commission is currently assessing an application for authorisation in such a case.

Administrative proceedings in the United States under Title IV of the Helms-Burton Act (Cuba)

A few individuals reported that the US Department of State had informed them of the start of, or the intention to initiate, proceedings under Title IV of the Helms-Burton Act. Title IV allows the US Department of State to deny entry to US territory to any foreign natural person and their families whom the Department of State recognises as having ‘trafficked’ in confiscated property in Cuba claimed by US nationals. The individuals targeted are managers or high-level employees of companies accused of ‘trafficking’ in confiscated US properties. The Commission is also aware that certain EU citizens and their families have been barred from entering the US on these grounds.

Deet49 - Any way you can post one DD page for FRAZ?

I've followed for a LONG time but even I lose track of the DD. But I'd like to tell a few people about it and lead them to something simple where they can start their research.

I do not want this to get pumped and run up fast. In a perfect world it will go up 20-30 cents per day or $1 per week and stay steady.. Until the big payout...then Boom!

Still trying to calculate the stock price if they get even just 2x settlement or 100+ million. Has this happened to any other stock listed? If so did the stock market cap get close to the settlement amount, 50% of it, 25% of it?

👍️0
bigcat2 bigcat2 4 years ago
Over $10 - Run just starting.

1. Let's keep this moving up just a little each day/week. 100-500 shares moves it 10-25% which is crazy!

2. I've been holding this in 2 accounts since 29 cents and 40 cents :) I don't get to brag often on my long picks but just have to on this one. Will sell 5-10% around $50

3. What's the current total OS count? The float has to be locked up. This thing doesn't move down at all even when there are zero buyers for a couple days straight.

4. Trying to calculate a reasonable price target if they settle for 15x like the other suit did.

5. I know this isn't the board but shouldn't MNII be moving up more also? I've been bidding for weeks and get zero shares but don't want to buy more at the ask as I already own too many shares.

If all the court decisions, court judgements, settlements and out-of-court agreements are not fully disclosed in a timely manner, how will any taxpayer-funded deterrent be measurable?

A primary goal of Title III was to publicly shame (through the courts) “traffickers” to cease activity in the Republic of Cuba- and do so in a high-wattage manner whereby others would be deterred from the same activity.

Given the immense domestic and international implications for decisions arising from the lawsuits, essential that all decisions be in the public domain.

This exposure is especially significant with respect to any “private settlements” among plaintiffs and defendants. The Libertad Act authorizes private settlements- a trafficker and owner of the expropriated asset can agree on compensation, but there is nothing in the Libertad Act compelling disclosure of any compensation.

From a United States-based law firm: “It’s a very odd and recent idea that settlements should be allowed to be secret. Without a court case, sure, people can settle their affairs with each other privately on any terms they like. But once someone invokes a law that claims a public policy purpose, like the Libertad Act, then the citizens of this country ought to know exactly how that law is working in practice. Is it achieving its policy goals, or is just a means for Cuban Americans to extort tolls from businesses trading with and investing in Cuba? Think for example about American Airlines being sued for transporting passengers to and from Cuba under various federal licenses and route allocations. Clearly the United States government not only approved but encouraged the company to provide that service. So, should that case be settled, doesn’t the public have a right to know what a litigant got from deploying a federal law against that United States company? Another thing, the filing fee in a federal case doesn’t even cover the wages of the janitor who cleans the courtrooms. Taxpayers foot the bill for judges’ salaries and pensions, and law clerks and administrative staffs’ wages, the costs of bailiffs, the cost of court houses and their maintenance, and on and on. Why should someone be free to use that infrastructure to procure money from another private party without taxpayers knowing how much they actually received by using a public law and its enforcement mechanism, the federal court system?”

From the Chicago, Illinois-based American Bar Association (ABA) on United States Federal Courts Funding:

What's amazing is that the enactment of the Title III portion of the Helms Burton has created a new dynamic, in a sense becomes a free market solution for Cub@ all they have to do is Rat out(Provide Evidence) the traffickers who will then be paying for the assets and in turn cub@ walks away free and clear from the helms burton OPM

Cub@ will then be free to use all of the assets have new investments without any more hindrances from the US FWIW

Nothing could benefit them more IMO!

https://www.wsj.com/articles/lafargeholcim-nears-settlement-over-property-in-cuba-11622067104

David Baron, an attorney at law firm Berliner Corcoran & Rowe LLP who is representing the plaintiffs, declined to comment. Grace Mead, an attorney at Stearns Weaver Miller Weissler Alhadeff & Sitterson PA who represents LafargeHolcim, also declined to comment.

The mediator, Layn Phillips, as well declined to comment, citing confidentiality constraints. Neither would a spokesman for LafargeHolcim comment.
The plaintiffs brought the lawsuit against LafargeHolcim, two of its subsidiaries, and three other entities, seeking up to $810 million in monetary damages, according to the complaint. The plaintiffs said they own 100% of claims to the property, and that those claims were certified by the Foreign Claims Settlement Commission, a quasi-judicial agency within the U.S. Justice Department, which valued the property at more than $11 million in 1969, according to the complaint.

At this point ASR Group International Inc. will need to tread softly cause I'm almost certain given light to this Francisco Industries Inc. Evidence the OFAC has opened an investigation so in addition to the Frazcisco suit they are now subject to Office of Foreign Asset Control in violation of the Helms Burton act facing hefty sanctions and penalties

It's sad cause I don't doubt they could have
1 gotten permission from OFAC
2 made a deal with FRAZ

But no they had to be greedy side step the rules and risk everything

Smoking GUN....

1 to be Certified is King
2 knowingly and Intentionally (ownership of shares at least the father will get some kick back we know who he's betting on lol but also not funny)
3 ASR as the only 'Party' to the suit may have also committed Fraud(Criminal) the 4 other 'nonparties' mentioned will gladly assist
IMO if it means they will not be subject to suit and that ASR will pay the running tab in turn being free and clear to operate the assets as they wish without let or hindrance by FRAZcisco

I believe there are other targets based on our listed assets to be named in the near term

but what do I know??? I know Nothing

GO FRAZzzzzzzzzzzzzzzzzzzzzzzzzzzzzzzzzzzzz XXXX.xx

The plaintiff requests that the court enter judgment against ASR for damages, claiming the greater of the following amounts: (i) the amount indicated in the claim certified by the FCSC plus interest at 6% per annum from the date of confiscation; (ii) the current value of the property; or (iii) the market value of the assets at the time of confiscation plus interest. That day is coming! There is nothing more that CUB@ government wants than to have this issue behind them (for all we know they may have provided the evidence?)especially if some else is going to pay for it (in this case ASR Group)

FRAZcisco will have no need to pursue AZCUB@ and in turn they would be free to do as they wish with the assets but I still think another suit gets filed as well cause ASR is not the only one 'trafficking'

I could be wrong but I believe the distillery is also being used in the same way and a potential subject target of a Suit with several candidates even wealthier than ASR Group

ReFresher< Helms-Burton liability includes “any person or entity, including any agency or instrumentality of a foreign state.”

“Trafficking” is defined as follows:

[A] person “traffics” in confiscated property if that person knowingly and intentionally —

(i) sells, transfers, distributes, dispenses, brokers, manages, or otherwise disposes of confiscated property, or purchases, leases, receives, possesses, obtains control of, manages, uses, or otherwise acquires or holds an interest in confiscated property,

(ii) engages in a commercial activity using or otherwise benefiting from confiscated property, or

(iii) causes, directs, participates in, or profits from, trafficking … by another person, or otherwise engages in trafficking ... through another person,

//Re-Cap// Kozyak Tropin & Throckmorton based the $792 million damages estimate on Banco Nuñez’s $7.8 million worth at the time, plus 6% annual interest and triple damages under the Helms-Burton Act, a 1996 federal law.

Admittedly I like the way they do the math the above referenced case has no bearing on FRAZ other than for Calculus of how the Helms Burton
is applied to value

Kozyak Tropin & Throckmorton is the same teem now handling Francisco Industries INC. ( AKA Francisco Sugar Company )
So What's $53.4M million worth at the time, plus 6% annual interest and triple damage ...? is it 9 or 10 figures ...

Sugar Baron Alfonso Fanjul Open to Doing Business in Cuba; Diaz-Balart and Rubio Rip Back https://www.miaminewtimes.com/news/sugar-baron-alfonso-fanjul-open-to-doing-business-in-cuba-diaz-balart-and-rubio-rip-back-6554150

As the Fanjuls’ companies are private, no public data is available regarding their revenues or profitability. Nevertheless, a September 2008 New York Times article https://www.nytimes.com/2008/09/14/business/14fanjul.html stated that “…the company said it had revenue of $3 billion last year, up from $2.5 billion the year before.” A 1987 Chicago Tribune article estimated the family’s net worth at $500 million, but in recent press articles they are often referred to as billionaires.

this is clearly someone trying to take advantage of the under informed
the market cap $3.6M is so low and SS 574K is very tiny and the size of the claim is ginormous $B double digits is a no brainer IMO!
